1. Introduction
Welcome to SPLIX (“Platform,” “we,” “us,” or “SPLIX”). SPLIX is an online marketplace that connects Players looking to book sports facilities with Merchants who independently operate and list those facilities (“Venues”) on the Platform.
These Terms & Conditions (“Terms”) govern your use of the Platform as a Player. If you are a Merchant, your relationship with SPLIX is governed separately by the Merchant Agreement you sign during onboarding, not by this document.
By creating an account or making a booking, you agree to these Terms. You should also read our Privacy Policy and our Refund & Return Policy, both of which form part of your agreement with SPLIX.
2. Definitions
- “Platform” / “SPLIX” / “we” / “us” means the SPLIX booking marketplace, operated by [Legal entity name].
- “Player” means an individual who registers an account to search for, book, and pay for a Session through the Platform.
- “Merchant” means an independent business or individual that lists and manages one or more Venues on the Platform.
- “Venue” means the physical sports facility (e.g., a badminton court, futsal pitch, or pickleball court) listed by a Merchant.
- “Booking” means a reservation made by a Player for a Session at a Venue through the Platform.
- “Session” means a specific time slot at a Venue that a Player books.
- “Confirmed Booking” means a Booking that has met the requirements in Section 4 (Booking).
- “Voucher” means the platform credit issued in place of a cash refund under Section 6 (Cancellation & Refund).
3. User Account
To access certain features of the Platform, including making Bookings, Players are required to register and create a user account.
Eligibility: You must be at least 18 years old — the age of majority in Malaysia — and legally capable of entering into a binding contract to register an account.
By registering an account, you agree to:
- Provide complete, accurate, and up-to-date information during the registration process.
- Maintain and promptly update your account information whenever there are any changes.
- Keep your login credentials, including your username and password, confidential and secure.
- Accept full responsibility for all activities carried out under your account, whether authorized by you or not.
- Notify SPLIX immediately if you become aware of any unauthorized access, security breach, or suspected misuse of your account.
SPLIX reserves the right to suspend, restrict, or terminate any account that is found to contain false or misleading information, violates these Terms, or is involved in fraudulent, abusive, or unlawful activities.
4. Booking
All Bookings are subject to Venue availability, operating hours, maintenance schedules, and any restrictions imposed by the Merchant.
By making a Booking through the Platform, you agree that:
- All Booking information provided is accurate and complete.
- A Booking is a Confirmed Booking only after successful submission and, where the Session requires online payment, successful payment through the approved payment channels.
- A Booking confirmation issued by the Platform serves as proof of a successful reservation and should be retained for reference.
- You are responsible for ensuring that the selected Venue, date, Session, and duration are correct before confirming the Booking.
- You must comply with all rules, regulations, and policies imposed by the Merchant while using the booked Venue, including on-site staff instructions and safety rules.
- Bookings are non-transferable unless otherwise permitted by the Merchant or SPLIX.
The Merchant reserves the right to refuse entry, cancel, or modify Bookings due to unforeseen circumstances, maintenance works, safety concerns, force majeure events, or operational requirements. Where applicable, affected Players will be notified accordingly.
5. Payment
5.1 Two payment models. SPLIX supports two ways a Booking may be paid for. The applicable model will be shown to you at the time of Booking:
- Venue-Collect: You pay the Merchant directly at the Venue (e.g., in cash or via the Merchant’s own payment terminal). SPLIX does not process, hold, or have access to this payment. SPLIX’s role is limited to facilitating the reservation.
- Online-Collect: You pay through SPLIX’s payment gateway at the time of Booking. SPLIX collects this payment on behalf of the Merchant and settles it to the Merchant, minus any applicable platform fee, within SPLIX’s standard settlement timeline.
5.2 General payment terms. By making a payment through the Platform, where applicable, you agree that:
- All payments must be made in Malaysian Ringgit (MYR), unless otherwise specified.
- For Online-Collect Bookings, a Booking will only be confirmed after the payment has been successfully processed and verified.
- You are responsible for ensuring payment details provided are accurate and that sufficient funds are available before completing the transaction.
- SPLIX is not responsible for payment failures resulting from issues with financial institutions, payment gateways, internet connectivity, or circumstances beyond SPLIX’s reasonable control.
- If an Online-Collect payment is unsuccessful or cancelled, the corresponding Booking may not be confirmed, and the selected Venue or time slot may be released for other Players.
- An electronic payment receipt or Booking confirmation will be issued and should be retained for future reference.
5.3 Platform fees: SPLIX does not currently charge Players any platform or service fee for using the Platform. This may change in the future — see Section 14 (Changes to These Terms) for how you’ll be notified.
5.4 Tax: All prices shown on the Platform are inclusive of any applicable tax (such as Sales and Service Tax), calculated at the rate in effect at the time of your Booking. Where a Booking is eligible for a cancellation refund, the refund — including any Voucher issued — is calculated on the same tax-inclusive amount you originally paid.
SPLIX reserves the right to suspend or cancel any Online-Collect Booking if payment is not successfully completed within the stipulated payment period.
6. Cancellation & Refund
If you cancel a Confirmed Booking, or if the Merchant cancels it, any eligible refund is issued as a Voucher usable at the same Venue and category.
Cancellation windows, refund percentages, voucher validity, and related terms are set out in full in our Refund & Return Policy, which forms part of these Terms by reference. If there is any conflict between this section and the Refund & Return Policy on refund or voucher matters, the Refund & Return Policy applies.
Cancellation requests must be submitted in accordance with the applicable cancellation window shown at the time of Booking.
The Merchant reserves the right to cancel or reschedule any Booking due to unforeseen circumstances, including but not limited to maintenance works, safety concerns, adverse weather conditions, operational requirements, or force majeure events. Where applicable, affected Players will be informed, and any resulting Voucher or rescheduling arrangement will follow this section and the Refund & Return Policy.
7. Merchants on the Platform
Venues listed on the Platform are independently owned and operated by third-party Merchants. SPLIX does not own, manage, or control any Venue.
Each Merchant is separately bound by a Merchant Agreement with SPLIX, which covers matters such as listing accuracy, honoring Confirmed Bookings, and handling walk-in or offline bookings. This document does not restate those obligations.
8. Player Conduct
You must use the Platform only for lawful purposes and in accordance with these Terms. You agree not to engage in any activity that may disrupt the operation, security, or integrity of the Platform or interfere with the rights of other Players.
You are strictly prohibited from:
- Providing false, inaccurate, or misleading information during account registration or when making a Booking.
- Creating fraudulent, duplicate, or fictitious Bookings.
- Using another person’s account without proper authorization.
- Attempting to gain unauthorized access to the Platform, user accounts, databases, servers, or any related systems.
- Uploading, transmitting, or distributing any viruses, malware, malicious code, or other harmful software through the Platform.
- Interfering with, disrupting, or attempting to compromise the security, availability, or performance of the Platform.
- Using automated tools, scripts, bots, or other technologies to access, monitor, or make Bookings through the Platform without prior written authorization.
- Circumventing or attempting to bypass any security measures, Booking restrictions, or system controls.
- Using the Platform for any unlawful, fraudulent, abusive, or unauthorized purpose.
- Copying, reproducing, modifying, distributing, or exploiting any content, software, or materials on the Platform without prior written permission.
- Behaving in a disruptive, abusive, or unsafe manner toward Merchant staff, other Players, or Venue property while at a Venue.
SPLIX reserves the right to investigate any suspected misuse of the Platform and may suspend, restrict, or terminate a user’s account, cancel any associated Bookings, or take appropriate legal action where necessary.
You are responsible for any losses, damages, or liabilities arising from your misuse of the Platform or violation of these Terms.
9. Role of SPLIX
SPLIX operates the Platform as an intermediary that connects Players and Merchants. SPLIX is not a party to the arrangement between you and the Merchant for the use of a Venue, and does not itself provide sports facilities, coaching, equipment, or venue staff.
SPLIX is not responsible for:
- the condition, safety, cleanliness, or suitability of any Venue;
- the conduct of any Merchant, Merchant staff, or other Player;
- any dispute between a Player and a Merchant arising from use of a Venue.
Where SPLIX becomes aware of a serious issue affecting a Venue or a Merchant’s conduct, SPLIX may take action under Section 3 (account suspension) or Section 7 (Merchant Agreement enforcement), but this does not make SPLIX liable for the underlying issue.
10. Dispute Resolution
If you have a complaint or dispute relating to a Booking or a Venue:
- 1Contact SPLIX support via WhatsApp or email at [email protected] with your Booking details.
- 2Where the dispute concerns the Venue itself (e.g., condition, conduct, refusal of entry), SPLIX may refer the matter to the Merchant for resolution, since SPLIX is not a party to that arrangement (see Section 9).
- 3If the matter is not resolved within 14 days, either party may pursue the matter under Section 13 (Governing Law).
11. Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. While reasonable efforts are made to ensure that the Platform operates efficiently and accurately, SPLIX does not guarantee uninterrupted, error-free, secure, or continuous availability of its services at all times.
To the fullest extent permitted by applicable law, SPLIX shall not be liable for any direct, indirect, incidental, consequential, special, or punitive losses or damages arising from or in connection with the use of, or inability to use, the Platform.
This includes, but is not limited to:
- Temporary service interruptions, scheduled maintenance, or system downtime.
- Internet connectivity issues or failures beyond SPLIX’s control.
- Failures, delays, or interruptions caused by third-party payment gateways, financial institutions, or telecommunications service providers.
- Technical errors, software defects, hardware failures, or unforeseen system malfunctions.
- Booking cancellations, Venue closures, or operational changes made by a Merchant.
- The conduct of any Merchant, Merchant staff, or other Player.
- Loss of data, business interruption, loss of profits, or any indirect or consequential damages arising from use of the Platform.
- Events beyond SPLIX’s reasonable control, including natural disasters, fire, flood, pandemic, war, civil unrest, government actions, or other force majeure events.
SPLIX acts solely as an online marketplace to facilitate sports venue bookings between Players and Merchants. SPLIX is not responsible for the quality, condition, safety, suitability, or availability of any Venue managed by a Merchant.
12. Termination
SPLIX reserves the right to suspend, restrict, or terminate any account that is found to contain false or misleading information, violates these Terms, or is involved in fraudulent, abusive, or unlawful activities.
You may request to close your account at any time by contacting SPLIX support via WhatsApp or email at [email protected]. Any unused Vouchers and upcoming Confirmed Bookings will be handled in accordance with our Refund & Return Policy.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia.
By accessing or using the Platform, you agree that any dispute, claim, or legal proceeding arising out of or relating to the use of the Platform, these Terms, or any services provided through the Platform shall be subject to the exclusive jurisdiction of the courts of Malaysia. (See Section 10 for the steps before matters reach this stage.)
14. Changes to These Terms
SPLIX may update these Terms, and any policy referenced within them (including the Privacy Policy and the Refund & Return Policy), from time to time. Where changes are material, we will notify you by email or in-app notification at least 7 days before the change takes effect. Continued use of the Platform after that date means you accept the updated Terms.
15. General
- Severability: If any part of these Terms is found unenforceable, the rest remains in effect.
- Entire agreement: These Terms, together with the Privacy Policy and the Refund & Return Policy, are the entire agreement between you and SPLIX regarding use of the Platform as a Player.
- No waiver: SPLIX not enforcing a term on one occasion doesn’t waive the right to enforce it later.
